Terms of Service.

The terms governing your use of the Dirigex platform.

1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the Dirigex platform and services (the "Service"). By creating an account, provisioning a tenant, or otherwise using the Service, you agree to these Terms on behalf of yourself and the organization you represent ("Customer"). If you do not agree, do not use the Service.

2. The Service

Dirigex is a control plane for AI agents — verifiable agent identity, governance policy enforcement, and tamper-evident audit of routing decisions. Features available depend on plan and configuration.

3. Accounts and eligibility

You must provide accurate information, keep credentials secure, and be authorized to bind the Customer. Self-service sign-up is limited to business email domains. You are responsible for activity under your account.

4. Customer data and privacy

Your use of the Service is also governed by our Privacy Policy and, where Dirigex processes personal data on your behalf, the Data Processing Addendum. You retain ownership of Customer Data and grant Dirigex the rights needed to operate the Service.

5. Acceptable use

You will use the Service responsibly and are responsible for the agents you register, route to, or invoke and for your end users' conduct.

6. Third-party agents

The Service routes requests to third-party agents that you or others register. Dirigex verifies identity, liveness, and freshness signals but does not warrant the behavior, output, safety, or fitness of any third-party agent. Use is at your own risk.

7. Fees

The current beta is provided at no charge. Paid plans will be governed by an order form or updated Terms.

8. Disclaimers & liability

The Service, beta features, documentation, public catalog, verification signals, routing decisions, agent outputs, and any third-party agents are provided "as is" and "as available." To the maximum extent permitted by law, Dirigex disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and any warranties arising from course of dealing or usage of trade.

Dirigex does not warrant that the Service will be uninterrupted, error-free, secure, or available at any particular time; that verification signals will detect every issue; that routing or governance decisions will meet Customer's requirements; or that any third-party agent or output will be accurate, safe, lawful, or suitable for Customer's use case. Customer is responsible for evaluating agent outputs and for any decisions, actions, or omissions based on the Service or agent outputs.

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business interruption, even if advised of the possibility of such damages.

Except for excluded claims, each party's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts paid or payable by Customer to Dirigex for the Service in the twelve (12) months before the event giving rise to liability, or (b) one hundred U.S. dollars (US $100) during any free beta period. "Excluded claims" means (1) Customer's payment obligations; (2) Customer's indemnification obligations; (3) either party's breach of confidentiality obligations; (4) a party's gross negligence, willful misconduct, or fraud; and (5) liability that cannot be limited under applicable law.

9. Indemnification

Customer will defend, indemnify, and hold harmless Dirigex and its affiliates, officers, directors, employees, and agents from and against any third-party claim, demand, action, or proceeding, and any resulting damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or relating to (a) Customer Data; (b) agents, tools, endpoints, or integrations that Customer registers, configures, invokes, or makes available through the Service; (c) Customer's or its users' use of the Service in violation of these Terms, the Acceptable Use Policy, applicable law, or third-party rights; or (d) decisions, actions, or omissions made by Customer or its users based on agent outputs or Service results.

Dirigex will defend Customer against a third-party claim alleging that the Service, when used as authorized under these Terms, directly infringes that third party's U.S. patent, copyright, trademark, or trade secret, and will pay damages and reasonable attorneys' fees finally awarded against Customer or agreed in settlement by Dirigex. Dirigex has no obligation for claims arising from (a) Customer Data or third-party agents; (b) combinations with items not provided by Dirigex; (c) modifications not made by Dirigex; (d) use after Dirigex provides a non-infringing alternative or terminates the affected Service; or (e) Customer's violation of these Terms.

The indemnified party must promptly notify the indemnifying party of the claim, provide reasonable cooperation, and allow the indemnifying party to control the defense and settlement, except that the indemnifying party may not settle a claim in a way that admits fault or imposes non-monetary obligations on the indemnified party without the indemnified party's prior written consent.

10. Term and termination

Either party may terminate as described in these Terms or any applicable order form. On termination your right to use the Service ends; data handling is described in the DPA and Privacy Policy.

11. Changes

We may update these Terms; material changes will be reflected by a new agreement version that you may be required to accept to continue using the Service.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Service, and each party waives any objection to that forum. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect confidential information or intellectual property rights.
